Senior Paralegal

The Senior Contracts Paralegal must have
Knowledge and experience with full contract execution life cycle. Eexperience administering, processing and executing contracts. 5 years or more working as a paralegal with a law firm or in-house legal department.
Experience with contracts and contract management, corporate transactions, database organization, intellectual property and technology agreements is required.
Covering corporate transactions is required.
This position also requires experience in traditional corporate paralegal responsibilities including the forming of new legal entities, maintaining minute books, resolutions, corporate records and state and local filings for all entities. Superior organizational skills and ability to follow through are needed for this position as it includes interacting with internal clients, including sales, technology professionals, senior management and others in connection with its duties.
The position requires strong initiative to take on work not assigned; must be able to work in a team environment (be receptive to other view points) as well as be an individual contributor; must possess a high level of integrity and professional demeanor; must be discrete with confidential and proprietary information as well as the ability to remain focused and flexible and the ability to assist other areas of the legal department with unrelated and related tasks.
The Paralegal should be able to listen and act on detailed instructions, be organized and demonstrate good judgment and ability to maintain confidentiality in performing the position responsibilities, provided as an overview here:
o Generate agreements from standard approved templates
o Liaison with internal clients to provide information regarding the agreement request process and status of in-progress work
o Review contractual agreements for internal compliance, ensure information is accurate prior to execution, and retrieval and copying/scanning of executed agreements from files
o Review and negotiate modifications to agreements within defined parameters, exercising judgment concerning agreement language within defined procedures and practices to determine appropriate action and understanding technical alternatives related to agreement language and impact/consequence from both a legal and business perspective
o Communicate with internal clients and external contracting parties
o Maintain database containing all contractual agreements and key terms and conditions for clients as well as scanning documents
o Conduct database searches and generating reports
o Traditional corporate paralegal responsibilities including forming new legal entities, maintaining minute books, resolutions, corporate records and state and local filings for all entities, etc
Education & Professional
Qualifications:
Paralegal Certificate
B.A. / B.S. degree
5 -7 years experience as a paralegal
Skills & Qualities:
o Strong organizational skills with the ability to prioritize multiple tasks/projects
o Excellent communication skills and PC Platform (Excel, Word, PowerPoint, Outlook)
o Negotiation skills
